A non-disclosure agreement (NDA) is a type of contract signed during business negotiations, partnership talks, employment, or supplier relationships, aimed at preventing sensitive information shared during these processes from being disclosed to third parties.
The Definition of Confidential Information Must Be Clear
The most critical element of an NDA is clearly defining the scope of the concept of "confidential information": the contract should list which types of information will be considered confidential, such as trade secrets, financial data, customer lists, technical documentation, and business plans. The more vague the definition is left, the more difficult it becomes to prove an alleged breach.
Unilateral or Mutual?
NDAs may be structured as unilateral, where only one party shares information, or mutual, where both parties share information. A mutual NDA is generally preferred in a partnership negotiation, while an NDA signed with an employee is typically unilateral.
Duration

Exceptions Should Not Be Forgotten
Every NDA should set out the exceptional cases in which the confidentiality obligation will not apply: for example, where the information is already publicly available, was independently developed by the recipient, or is disclosed due to a legal requirement (a court order or an official authority's request).
Penalty Clause and Sanctions
Clearly stating in the contract the sanction to apply in the event of a breach (penalty clause, compensation, the right to seek an injunction) increases the deterrent effect of a breach and makes it easier to prove damages in a potential dispute.
